User Agreement

1. Agreement Overview

This User Agreement (hereinafter referred to as "Agreement") applies to all users (hereinafter referred to as "Users" or "you") accessing or using the SoulVid application (hereinafter referred to as "Services"), including but not limited to users who install, register, or access the application. By using or accessing SoulVid, you confirm that you have understood and agree to be bound by all terms of this Agreement. If you do not agree to any part of this Agreement, please stop using the application immediately.

2. User Responsibilities

2.1 Basic Principles: Users must comply with all applicable laws, regulations, and legal norms when using our products and services. Users must also respect public order and social morals and must not engage in any illegal, regulatory violations, or infringement of the legitimate rights and interests of others.

2.2 User Content: Users are responsible for the ownership and legality of all content uploaded to SoulVid, including images, videos, and other multimedia files. Users guarantee that the content uploaded or generated does not infringe on any third-party intellectual property rights, privacy rights, or other legitimate rights, including but not limited to:

1. Any violation of internationally recognized laws and regulations, or the laws and regulations of the relevant target market.
2. Content that infringes upon the legitimate rights and interests of any individual or the public.
3. Disseminating hate speech, violent, pornographic, terrorist, or other inappropriate content; or any content that infringes the legitimate rights and interests of others or public interests.
4. Promoting products or services without the prior consent of SoulVid, or in violation of SoulVid's guidelines.
5. Content that disrupts or impairs the stability or security of the system or Service, including but not limited to viruses, malicious code, or any program intended to interrupt, destroy, or limit the functionality of computer software or hardware.
6. Using the Service to develop or improve any product or service that competes with SoulVid.
7. Accessing or obtaining content generated by the Service through improper means; or engaging in reverse engineering, disassembly, decompilation, or any attempt to crack or extract the source code of the Service.
8. Any other content or conduct prohibited by applicable laws and administrative regulations.

2.3 Dispute Resolution: If the content uploaded by Users involves copyright, portraiture right or other legal disputes, Users shall bear all responsibility independently. SoulVid does not bear any responsibility for content uploaded or generated by Users and reserves the right to delete content in the event of a dispute.

2.4 Content Management: SoulVid reserves the right to monitor user-uploaded content and delete content that violates this Agreement or applicable laws when necessary, but does not have the obligation for continuous monitoring.

2.5 According to the requirements of laws and regulations, SoulVid will automatically mark the relevant logo of "generated content belongs to AI generation", and you shall not delete or tamper with such logos without authorization.

3. Intellectual Property

3.1 Application Content: All content in SoulVid, including code, algorithms, interface design, text, images, audio, and video, is the intellectual property of SoulVid or its licensors. Users may not copy, modify, distribute, or otherwise use the application content without written permission.

3.2 User Uploaded Content: Users retain ownership of the content uploaded to SoulVid, but by uploading, grant SoulVid a non-exclusive global license to use that content, allowing the application to display it in the user interface and for promotional purposes.

4. Indemnity

By accessing SoulVid and using our services you agree to indemnify, defend, and hold harmless SoulVid and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

1. Any content you upload, generate or create using SoulVid's services;
2. Your violation of these Users Agreement;
3. Your violation of any applicable laws, rules, or regulations;
4. Your infringement of any intellectual property rights or other rights of any third party.
5. Your use of the face swap feature (if applicable), including any claims related to misuse of biometric data, violation of portrait rights, defamation, or fraud.

5. Limitation of Liability

To the maximum extent permitted by applicable law, SoulVid shall not be liable for any damages whatsoever arising out of or in connection with your use of the Services, including but not limited to direct, indirect, special, incidental, consequential, exemplary, or punitive damages, or damages for loss of profits, revenue, data, business opportunities, or use, even if SoulVid has been advised of the possibility of such damages.

In particular, SoulVid shall not be liable for any damages arising from:

1. Your violation of this Agreement or applicable laws when using the Service;
2. The legality, accuracy, appropriateness, or non-infringement of User Content (including AI-generated videos via SoulVid);
3. Claims, lawsuits, or disputes brought by third parties arising from your use of SoulVid Video, including but not limited to claims of infringement, defamation, invasion of privacy, dissemination of illegal content, or violation of data protection laws or the EU AI Act;
4. Technical failures, interruptions, errors, or defects in SoulVid, or generation of content that does not meet your expectations;
5. Your failure to disclose that content is AI-generated as required by applicable laws, the EU AI Act, or this Agreement.

The total aggregate liability of SoulVid for any claims arising out of or in connection with this Agreement shall not exceed the total fees paid by you to SoulVid for the Services during the twelve (12) months immediately preceding the claim.

6. AI-Generated Content Disclaimer

You understand and acknowledge that the outputs generated by our AI tools are based on algorithms and machine learning models. While we strive to provide high-quality and innovative results, AI-generated content may not always be perfect, unique, or suitable for every purpose. SoulVid does not warrant that the AI-generated content will be error-free, meet your specific requirements, or be free from any claims of legitimate right infringement by third parties (although we take measures to mitigate such risks). You are solely responsible for evaluating the appropriateness and legality of using any AI-generated content for your intended purposes.

7. Termination and Modification

7.1 Agreement Modification: We reserve the right to modify this Agreement at any time. Users' continued use of this application indicates acceptance of the updated Agreement. SoulVid reserves the final interpretation rights of this Agreement.

7.2 Service Termination: If users violate this Agreement or applicable laws, we reserve the right to terminate or suspend users' access, without any compensation liability.

However, please note that by submitting any feedback to SoulVid, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, disclose, distribute, modify, and exploit such feedback for any purpose, without any obligation to compensate you or attribute the feedback to you. We appreciate your valuable contributions, but submission of feedback shall be deemed your acceptance of this Agreement.
